If you have ever purchased a vehicle or a home, signed a lease to rent an apartment, or worked for an employer you have entered into a contract. Simply put, a contract is “an agreement between two or more persons which creates an obligation to do or not do a particular thing.”

What is Breach of Contract?

A breach of contract occurs when one of the persons who entered into the contract (which can be oral or in writing) fails to do or perform the duties required under the agreement. In this instance, the wronged party would have the right to seek compensation.

In most cases, the innocent party would seek monetary damages when a breach of contract occurs. The amount payable would reflect the amount required to put the wronged party in the same situation as if the breach of contract had not occurred. In special circumstances, such as a dispute over real estate, the innocent party may ask the court for an order for specific performance, which means the party who breached the contract will have to fulfill the obligations in the agreement.

  • Each party must be capable of understanding that they are entering into a contract.
  • They must also understand the general nature of the contract, including their rights and obligations.
  • Consideration, which is usually a sum of money, must be exchanged.
